Operating Jurisdictions: World AI Group operates primarily from Canada and provides services to clients in Canada, the United Kingdom, and the United States of America. Our Services are subject to the laws of these jurisdictions as applicable.

2. Services Description

World AI Group provides digital marketing and practice optimization services specifically designed for dental clinics, including but not limited to:

AI Lead Generation: We utilize artificial intelligence and digital marketing strategies to generate patient leads for dental practices, with a target of 20 to 80 new patients per month.
AI Practice Optimizer Application: A proprietary software application designed to analyze practice data, optimize operations, and provide recommendations for increasing revenue and efficiency.
Consultation Services: Business assessment, data analysis, and strategic recommendations for dental practice growth.
Digital Marketing: Social media management, website optimization, targeted advertising campaigns, and other marketing activities.

3. Client Eligibility and Registration

3.1 Eligibility

To use our Services, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Have the legal authority to enter into binding contracts
Operate a legitimate dental practice or healthcare business
Provide accurate, current, and complete information during registration
Comply with all applicable laws and regulations in your jurisdiction

3.2 Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Service Agreements and Performance

4.1 Lead Generation Targets

While we target delivering 20 to 80 new patient leads per month, actual results may vary based on numerous factors including but not limited to:

Market conditions and competition in your geographic area
Quality and responsiveness of your practice
Seasonal fluctuations in demand
Your cooperation in providing necessary information and materials
Budget allocation for advertising campaigns

Lead generation targets are estimates and not guarantees. “Leads” are defined as potential patients who have expressed interest in dental services through our marketing efforts.

4.2 Practice Optimizer Application

The Practice Optimizer Application requires:

Access to your practice data, systems, and financial information
Installation and integration with your existing software systems
Your cooperation in implementing recommended changes

Recommendations provided by the application are suggestions based on data analysis and do not guarantee specific financial outcomes.

4.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Services.

5. Fees, Payment, and Refunds

5.1 Pricing

Service fees are as specified in your individual service agreement or on our pricing page. All fees are quoted in Canadian Dollars (CAD), US Dollars (USD), or British Pounds (GBP) as applicable to your location.

5.2 Payment Terms

Payment is due according to the schedule specified in your service agreement
You authorize us to charge your designated payment method for all fees incurred
Late payments may result in suspension of services and/or late fees
All fees are exclusive of applicable taxes, which you are responsible for paying

5.3 Advertising Budget

For lead generation services, you may be required to maintain a separate advertising budget for platforms such as Google Ads, Facebook Ads, or other marketing channels. This budget is in addition to our service fees and is paid directly to the advertising platforms.

5.4 Refund Policy

Due to the nature of digital marketing services and the immediate commencement of work:

Setup fees are non-refundable once services have commenced
Monthly service fees may be refundable on a pro-rata basis if cancellation occurs within the first 14 days of a billing cycle
Refund requests must be submitted in writing to admin@worldaigroup.com
Advertising spend paid to third-party platforms is non-refundable

6. Data Protection and Privacy

Important: The protection of your data is a top priority. This section outlines our compliance with data protection regulations in Canada, the UK, and the USA.

6.1 Applicable Laws

7.2 Cooperation

You agree to:

Respond promptly to leads generated through our Services
Maintain professional standards in patient interactions
Implement reasonable recommendations from the Practice Optimizer
Provide necessary access and permissions for software installation
Comply with advertising platform policies and guidelines

7.3 Compliance

You are responsible for:

Ensuring your practice complies with all applicable healthcare regulations
Maintaining all necessary licenses and certifications
Reviewing and approving marketing content before publication
Ensuring claims made in marketing materials are accurate and compliant

7.4 Prohibited Uses

You agree not to:

Use our Services for any illegal or unauthorized purpose
Violate any laws in your jurisdiction
Infringe upon intellectual property rights
Transmit malicious code or interfere with the Services
Attempt to gain unauthorized access to our systems
Use the Services to harm, harass, or threaten others
Reverse engineer or attempt to extract source code from our software

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, algorithms, text, graphics, logos, and trademarks, are owned by World AI Group or our licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your business purposes.

8.3 Client Content

You retain ownership of all content you provide to us (logos, photos, practice information, etc.). By providing content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing Services to you.

8.4 Marketing Materials

Marketing materials created by us on your behalf are licensed to you for use during the term of our agreement. We retain ownership of templates, frameworks, and methodologies used in creating such materials.

8.5 Testimonials and Case Studies

You grant us permission to use your practice name, logo, and testimonials in our marketing materials unless you specifically opt-out in writing.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This includes:

Business strategies and financial information
Proprietary software and algorithms
Trade secrets and know-how
Patient data (to the extent shared)

Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

10. Term and Termination

10.1 Term

These Terms commence when you first access or use the Services and continue until terminated by either party.

10.2 Termination by Client

You may terminate your service agreement:

By providing 30 days’ written notice
Termination takes effect at the end of the current billing cycle
You remain responsible for all fees accrued up to the termination date

10.3 Termination by World AI Group

We may terminate or suspend your access to Services immediately if:

You breach these Terms
You fail to pay fees when due
Your use of Services poses security or legal risks
Your practice loses necessary licenses or certifications
We cease offering Services in your jurisdiction

10.4 Effects of Termination

Upon termination:

Your access to Services will be discontinued
We will cease all marketing activities on your behalf
You must cease using our software and intellectual property
We will provide you with access to your data for a period of 30 days
Sections of these Terms that by their nature should survive termination will continue to apply

11. Warranties and Disclaimers

11.1 Limited Warranty

We warrant that we will provide Services in a professional and workmanlike manner consistent with industry standards.

11.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement
Guarantees of specific results, revenue increases, or patient acquisition numbers
Uninterrupted, error-free, or secure operation
Accuracy or reliability of information obtained through the Services

11.3 Third-Party Services

Our Services may integrate with or rely on third-party platforms (Google, Facebook, etc.). We are not responsible for the availability, functionality, or terms of such third-party services.

12. Limitation of Liability

IMPORTANT – PLEASE READ CAREFULLY:

12.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORLD AI GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
COST OF SUBSTITUTE SERVICES
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES

12.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded or limited by applicable law

For UK clients: The laws of England and Wales

14.2 Informal Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter informally by contacting admin@worldaigroup.com. We will make good faith efforts to resolve disputes within 30 days.

14.3 Mediation and Arbitration

If informal resolution fails, disputes shall be resolved through:

Mediation administered by a mutually agreed upon mediator
If mediation fails, binding arbitration in accordance with the rules of the applicable arbitration association in your jurisdiction
Arbitration shall be conducted in the English language

14.4 Jurisdiction and Venue

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in:

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Communications and Electronic Signatures

By using our Services, you consent to receive electronic communications from us, including:

SMS/text messages to your mobile number (if provided)
Notifications through the Practice Optimizer Application
Updates posted on our website

You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

15.2 SMS/Text Messaging

If you provide a mobile phone number, you consent to receive text messages related to your account and services. Message and data rates may apply. You can opt-out at any time by replying STOP to any message or contacting us directly.

15.3 Electronic Signatures

You agree that your electronic acceptance of these Terms (by clicking “I agree,” using the Services, or similar action) constitutes your signature and agreement to be bound by these Terms with the same force and effect as if you had signed this agreement with a handwritten signature.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms on our website with a new “Last Updated” date
Sending an email notification to your registered email address
Providing notice through the Services

Your continued use of the Services after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must discontinue use of the Services.

These Terms are for the benefit of, and may be enforced only by, the parties to this agreement and their respective permitted successors and assigns. There are no third-party beneficiaries to these Terms.

18.6 Relationship of Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

18.7 Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

19. Compliance with Healthcare Regulations

As a provider of services to healthcare professionals:

You acknowledge that you are solely responsible for compliance with all applicable healthcare advertising and marketing regulations in your jurisdiction
You must review and approve all marketing content before it is published
You represent that all claims made in marketing materials are truthful, substantiated, and compliant with professional regulations
We are not responsible for ensuring your marketing complies with dental board regulations or professional standards
